Job Description:
• Act as the primary legal advisor to technology leadership, engineering, product, and data platform teams.
• Own end-to-end legal review, negotiation, and execution of technology vendor agreements including SOWs, MSAs, SaaS subscriptions, and professional services contracts.
• Build and maintain a lightweight contracting playbook — pre-approved templates, risk-tiered review thresholds, and escalation protocols.
• Manage commercial relationships with data platform vendors and enterprise software providers.
• Serve as primary legal advisor for technology initiatives on creation, protection, and licensing.
• Structure and negotiate data use agreements and clinical data licensing arrangements.
• Advise on HIPAA compliance and compliance in AI/ML contexts.
• Monitor FDA regulatory positioning for clinical decision support.
• Support enterprise AI governance and usage policies.
• Responsible for ongoing legal documentation for the Vytal Insights subsidiary.
• Provide legal input on capital structure questions as the subsidiary approaches commercialization.
• Act as internal legal resource for technology disputes and transaction support.
Requirements:
• J.D. from an accredited law school and active bar membership in at least one U.S. state.
• Minimum 5 years of progressive legal experience with substantial technology transactions work — vendor contracting, SaaS agreements, data licensing, and IP protection.
• Demonstrated experience with healthcare data governance: HIPAA, BAAs, data use agreements, and de-identification in the context of analytics or AI/ML.
• Experience structuring or advising on IP assignment chains, subsidiary governance documents, or inter-company agreements.
• Ability to move at commercial speed on contract review while maintaining legal rigor — the defining skill for this role.
• Comfortable operating as a solo practitioner within a team: self-directed, low-maintenance, high throughput.
